Plain-English summary: This agreement is between PocketCache, LLC and the nonprofit organization ("Nonprofit") that signs up to use PocketCache's software. PocketCache provides the technology. The Nonprofit runs its own round-up giving program, collects donations on its own Stripe account, and issues tax receipts to donors. PocketCache charges donors a flat fee — never a percentage of donations — and never charges the Nonprofit anything, ever.
PocketCache, LLC ("PocketCache") grants the Nonprofit a non-exclusive, non-transferable, revocable license to use the PocketCache software platform (the "Platform") to operate a branded round-up giving program for the Nonprofit's own donors. This license does not include the right to sublicense, resell, or transfer access to the Platform to any third party.
Donors pay; Nonprofits never pay: PocketCache charges donors a flat, mandatory $1.00/month service fee for each month a linked account is actively rounding up (fee rolls over with sub-minimum balances and collects in the same single charge). This is PocketCache's only revenue. PocketCache does not invoice, bill, or assess any fee against the Nonprofit under any circumstances. The Nonprofit will never receive an invoice from PocketCache.
Processing-cover toggle (donor election): At checkout, donors see a pre-checked option to cover the Nonprofit's card-processing costs (approximately 2.2% + $0.30 per monthly charge). This amount: (a) is a voluntary addition to the donor's donation to the Nonprofit; (b) is tax-deductible to the donor as allowed by law; (c) passes through entirely to the Nonprofit — PocketCache receives none of it; and (d) causes the Nonprofit to net 100% of the donor's round-ups for that billing cycle. If a donor unchecks this option, the Nonprofit receives round-ups minus standard card-processing costs — the same outcome as any card donation.
Rollover and settle-up: When a donor's accumulated round-ups are below the Nonprofit's monthly minimum (default $5, configurable per nonprofit), the charge rolls over to the following month. Regardless of the rollover minimum, a settle-up charge runs at least once every 3 calendar months, collecting all accrued round-ups and fees. At cancellation, a donor may elect a final settle-up or waive all accrued amounts.
No setup fees. No percentage of donation amounts. No nonprofit billing. Ever.
"Active linked user" means a donor who has at least one linked Plaid account and at least $0.01 in round-ups during the billing month.
Refunds of donations are the Nonprofit's decision and responsibility as merchant of record. PocketCache will promptly forward donor refund and cancellation requests to the Nonprofit's admin contact, and may — at the Nonprofit's direction — process approved refunds on the Nonprofit's behalf through the platform. PocketCache may refund its own service fees at its sole discretion, including in the interest of good stewardship of the Nonprofit's brand and the partnership.
The Nonprofit must connect its own Stripe account via Stripe Connect Standard OAuth. The Nonprofit accepts Stripe's Connected Account Agreement. PocketCache uses Stripe's application_fee_amount parameter per charge to collect the processing fee; this amount is explicitly disclosed to donors at checkout. PocketCache is not responsible for Stripe service interruptions, Stripe's terms changes, or Stripe's decisions regarding the Nonprofit's account.
The Nonprofit may display "Powered by PocketCache" in its donor-facing materials in accordance with PocketCache's brand guidelines. The Nonprofit may not use PocketCache's name, logo, or marks in any way that implies PocketCache endorses the Nonprofit's fundraising activities, is a co-fundraiser, or is a registered charitable organization.
PocketCache grants the Nonprofit the right to configure the Platform with the Nonprofit's own logo, colors, and story text to create a branded donor experience. All branding must comply with applicable law and must not be misleading. The Nonprofit is responsible for ensuring that all branding content it uploads is accurate and that the Nonprofit has the right to use it.
PocketCache may modify this Agreement — including its fees, fee structure, service tiers, and the features included in the Platform — by providing the Nonprofit at least 60 days' written notice to the Nonprofit's admin contact email. Changes take effect at the end of the notice period; the Nonprofit's continued use of the Platform after that date constitutes acceptance.
If a change increases the fees payable by the Nonprofit or materially reduces the services provided, the Nonprofit may terminate this Agreement without penalty at any time before the change takes effect, and the pre-change terms govern through the termination date. Changes do not apply retroactively to charges already processed.
Donor-facing fee changes will additionally be disclosed to donors in accordance with the donor Terms of Service before taking effect.
Either party may terminate this Agreement on 30 days' written notice. Upon termination, PocketCache will wind down the Nonprofit's program and stop processing new donor enrollments. Existing active donors will be notified of the program's end. PocketCache will complete any charges already initiated before the termination date. The Nonprofit remains responsible for issuing tax receipts for all charges processed before termination.
PocketCache may terminate immediately upon written notice if the Nonprofit materially breaches this Agreement and fails to cure the breach within 10 days of notice.
PocketCache's liability to the Nonprofit for any claim arising from this Agreement or use of the Platform is limited to the fees paid by the Nonprofit to PocketCache in the 3 months preceding the claim. PocketCache is not liable for indirect, incidental, consequential, or punitive damages of any kind. PocketCache is not liable for actions or omissions of Stripe, Plaid, or any third-party service provider.
Any dispute arising from this Agreement that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wisconsin. Both parties waive the right to a jury trial. Class arbitration is not permitted.
This Agreement is governed by the laws of the State of Wisconsin, without regard to its conflict-of-law provisions.
